About the Role
We're looking for a Chief Compliance Officer to build and own the firm’s compliance program end-to-end: someone who can manage our day-to-day compliance and regulatory obligations with rigor, support M&A efforts, and be a trusted voice with both internal and external stakeholders.
You report to the COO and have direct access to the firm's senior leadership on any compliance matter.
What You'll Own
- Serve as the firm's designated Chief Compliance Officer under Rule 206(4)-7 of the Investment Advisers Act, responsible for the written compliance policies and procedures and for the annual review of how well they work.
- Advise the COO and senior leadership on regulatory risk, and report on testing results, exam findings, and open issues.
- Lead the firm's response to SEC examinations, regulator inquiries, and internal audits.
- Oversee compliance with the Marketing Rule, custody rule, Regulation S-P, Form ADV and Form CRS, and the firm's cybersecurity and business continuity requirements.
- Manage conflicts of interest and keep the firm's disclosures accurate and current.
What You'll Do Day to Day
- Review marketing materials, social media, and client communications before use.
- Run the code of ethics program, including personal trading pre-clearance and reporting, gifts and entertainment, and outside business activities.
- Test and monitor trading, billing, custody, and client account activity on a regular schedule.
- Prepare and file Form ADV amendments, Form CRS, state registrations, and other regulatory filings.
- Maintain the compliance calendar, books and records, and supporting documentation.
- Create scalable processes to support the firm’s growth.
- Train employees at onboarding and each year, and answer compliance questions as they come up.
- Conduct due diligence on vendors and manage relationships with outside counsel and compliance consultants.
- Track regulatory developments and turn them into practical firm policy.
- Partner cross-functionally with Operations and Learning & Development to embed compliance into the firm’s training.
Qualifications & Skills You'll Bring
- Ten or more years of compliance experience, with at least five at an SEC-registered investment adviser.
- Prior experience as a CCO, deputy CCO, or senior compliance manager at an RIA.
- Direct experience leading or supporting an SEC examination.
- Deep working knowledge of the Investment Advisers Act of 1940 and the rules under it.
- Bachelor's degree. Series 65 or 66 preferred. A law degree or compliance certification is a plus.
- Experience with private wealth, multi-family office, or ultra-high-net-worth client service is a plus.
- Comfort working hands-on across the full compliance program.
- Clear written and verbal communication. You can hold a firm line with senior colleagues and explain your reasoning.
- A genuine culture carrier, someone who raises the bar for how the people around them think and work
- Comfortable with ambiguity and the pace of a fast-growing company building something that hasn't been built before
Why Verdence
The compensation package for this position consists of a base salary (with eligibility for an annual bonus/commissions if applicable) as well as eligibility to participate in all company benefits offered by VCA. This includes, but is not limited to medical, dental, and vision insurance (all employer-paid), disability and life insurance, 401k, educational assistance, wellness reimbursement, PTO, holidays, and parental leave. The salary range for this position will be $150,000 to $225,000. Salary will be commensurate with experience, skills, credentials, and geographical location of each candidate.
